Only Board of Directors has the authority to hire an Executive Director of the ATA

    ATA by laws, Article IV, Section 3: Powers, (c) The Board of Directors shall have the power and does by these presents delegate to the Executive Committee full and complete authority to do all things in the time intervening between annual meetings that the Board of Directors could do if it were in session.

    Illinois Assistant Attorney General Pasquale disagreed with the legality of that by-law. Especially when the Executive Committee was giving themselves free guns illegally for decades. He forced the ATA Board of Directors to Vote.

    It was merlo and the attorneys on this site that spoke with the AG and forced the vote.

    That by-law is only for day to day decisions. All Gipson's contracts were appproved by the BOD. It is not surprising the EC would try to by pass the BOD's authority. Remember the BOD represents the shooters.

    A meeting zoom or in person could have been done. These guys are creepy.

    Hey Multifired.....
    If your Executive Director's salary is not approved by the Board of Directors you will have some explaining with the IRS.

    That would trigger one hell of an audit. Jmho
